Marketing Program Agreement

We are pleased that you have selected Bryce Root to assist you with the following project(s):

1. Marketing Audit - This process allows Bryce Root to fully evaluate the current state of all the marketing elements and opportunities that exist for your organization.
2. Marketing Plan  – In this series of 2-hour planning sessions we will devise a strategic marketing plan for your business, we will mutually work together in these sessions in devising a marketing action plan for achieving your overall business and marketing goals.
3. Marketing Program Implementation  – Bryce Root and The Root Group will be orchestrating the logistics for implementing a strategic marketing program for your business, while throughout each month, you and Bryce Root will be mutually working together in various degrees of effort to ensure your marketing program is carried out and properly implemented in order to achieve your overall business and marketing goals.
4. Marketing Action Plan Strategy Session - In this intensive 2-hour session, we'll be reviewing your target customer(s), branding, and marketing tactics and strategies necessary to accomplish your business goals for the immediate future. 

Scope of Work
Bryce Root agrees to perform the following services for your business as set forth below:

Marketing Audit

1. Deliverable: Traditionally, this audit process can take up to two weeks, but has the ability to be expedited. The end product is Bryce Root's report on the current state of the current marketing elements as well as their recommended future as effective marketing tactics. Additionally, you will receive a report that evaluates the untapped opportunities based on the assets that your organization currently has as well as those that your competitors and industry are deploying that should be in use by your company.
2. Project turnaround: Up to two weeks
3. Final product: A comprehensive, organized summary and overview of the audit that can be shared with other parties throughout your organization. This will be the basis for many of the elements that make up the marketing program and plan that will likely be the next step in the process.

Marketing Plan

1. Deliverable: 12-month marketing plan to help your business achieve its business goals that is based upon a target customer analysis and brand refresh/update recommendation (if necessary) that is performed by Bryce Root.
2. Project turnaround: Up to three months, but this can easily be expedited, equating to as little as 1.5 to 2 weeks.
3. Final product: A comprehensive, 12-month marketing plan documented in an extensive excel file that includes your marketing budget, project manager, daily/weekly action plan, and other associated tools to keep your marketing program organized.

Marketing Program Implementation

1. Deliverable: Implementation of your strategic marketing program to help your business achieve its business goal(s) that is based upon the plan and/or program that has been outlined and/or recommended by Bryce Root.
2. Project turnaround: Ongoing
3. Final product: You will receive professional guidance and service in implementing your marketing plan and/or program developed by Bryce Root. This implementation will be based on the implementation plan you select as noted in the "Fees" section noted directly below.

Marketing Action Plan Strategy Session 

1. Deliverable: An intensive 2-hour session, we'll be reviewing, discussing and brainstorming all that is necessary to analyze your target customer(s), branding, and marketing tactics and strategies necessary to accomplish your business goals for the immediate future. 
2. Project turnaround: Two hours
3. Final product: In the days following your session, you will be sent Bryce Root's official "marketing tracker" document, brand guide, and links to the recommended resources to to help input and begin to put your action plan into motion.

Fees
In connection with the performance of services described above, you agree to pay to Bryce Root the following fees:

Marketing Audit

• Fee & Payment: One payment of $1,100 to be paid in full prior to the initiation of the project.

Marketing Plan

• Fee: One payment of $1,299 or three equal payments of $500 to be billed over the course of 3 months on subsequent anniversary date of the initial purchase.
• Payment of 1-time payment of $1,299 or initial payment of 3-month payment plan of $500 per month must be received before the Marketing Plan project can begin 

Marketing Program Implementation
In connection with the performance of services described above, you agree to pay to Bryce Root one or more of the following fees as part of this month-to-month agreement (details describing each implementation plan described at rootgroupmarketing.com/1-hour-marketing-program):

• "Do It Yourself" Implementation Plan Fee: Monthly payment of $440.00 to be automatically billed to your credit card on file on the date of registration while subsequent months will be automatically billed on the first of the month.
• "We Both Do It" Implementation Plan Fee: Monthly payment of $990.00 to be automatically billed to your credit card on file on the date of registration while subsequent months will be automatically billed on the first of the month.
• "We Do It For You" Implementation Plan Fee: Monthly payment of $1,980.00 to be automatically billed to your credit card on file on the date of registration while subsequent months will be automatically billed on the first of the month.​
• "Marketing Director" Implementation Plan Fee: Monthly payment of $2,970 to be automatically billed to your credit card on file on the date of registration while subsequent months will be automatically billed on the first of the month.

Marketing Action Plan Strategy Session

• Fee & Payment: One payment of $440 to be paid in full prior to the initiation of the project.

Conditions to Our Performance of Services
In order for Bryce Root to perform services for you in an effective and efficient manner, you agree to:

Provide all information and documentation that Bryce Root may request from you or that may otherwise be useful to him in connection with the performance of services; and Immediately advise Bryce Root of any changes to your operations or other information that may require a change in the scope or particulars of the services. 

Indemnification
You hereby agree to indemnify, defend and hold Bryce Root harmless from all claims, demands, losses, costs, expenses, obligations, liabilities, damages, recoveries and deficiencies, including interest, penalties and attorneys’ / professionals’ fees and costs, that the other may incur as a result of a breach of any term or representation contained in this Agreement by you or its agents or assigns, or your business’s implementation of the projects listed in the previous Scope of Work section provided to you and your business from Bryce Root.

Warranty 
Bryce Root’s services are provided "as is" without warranty of any kind, either express or implied, to the fullest extent permissible pursuant to applicable law. Bryce Root further assumes no responsibility for, and makes no warranties or guarantees for its service, consulting or strategies.

Termination
This agreement will continue on a continuous monthly basis, unless terminated earlier by either party upon 48 hours' advance written notice before the billing normally taking place on the first of each month. With the exception of the "Marketing Director" Implementation Program, which requires two months' paid notice before ending services.

Independent Contractor Status
You understand that you are engaging Bryce Root as an independent contractor. This agreement is not intended to create any partnership, joint venture, co-ownership, agency, or employment relationship between us. Unless Bryce Root specifically agrees to, in writing, Bryce Root will not act for you as your agent or make commitments for you or on your behalf.

Miscellaneous
This agreement shall only be amended upon the written approval of both parties. You are not permitted to assign your rights, duties, or obligations under this agreement to any other party without Bryce Root's prior written consent.

This agreement constitutes the entire agreement between you and Bryce Root with respect to the performance of the services set forth above. This agreement supersedes any previous agreements between these parties relating to the performance of these services.
