OVERVIEW
In depth, two to six-hour onsite/in-person, ROI-focused audit of current and potential assets that can become monetizable beyond their current state. This immersive session will allow Root Group Marketing and its Founder, Bryce Root, the ability to internalize the objectives, goals, priorities and overall portfolio of current and potential assets that exist for your organization's operation.


This intelligence will then be used by Root Group Marketing to generate a customized content monetization ecosystem blueprint that's ROI-based and is intended to help you orchestrate and implement multiple channels of income that are content-based.

• Whether it's launching a subscription channel or branded merchandise store, driving ticket sales, business development, or just pure sponsorship and advertising revenue, or all of the above and more, we'll have all the logistics and mechanics penciled out.
• From names of video series, storylines, and logistics trackers to all the elements that are now sponsorable and can showcase advertisers, this blueprint will map out your entire video content-based content program as well as all your other potential content-based channels that can income-driving for your operation.

This contract is between Root Group Marketing LLC (the "Business") and Catherine Breed (the "Client") .


Payment schedule
The Client will pay the Business $0.00 prior to services being provided, which shall begin with the deep dive onsite/in-person immersion session that will be scheduled by the "Client" as part of this onboarding process.

Terms
"Client" and Root Group Marketing LLC Agreement

Conditions to Our Performance of Services
In order for Root Group Marketing LLC to perform services for you in an effective and efficient manner, you agree to:


Provide all information and documentation that Root Group Marketing LLC may request from you or that may otherwise be useful to them in connection with the performance of services; and Immediately advise Root Group Marketing LLC of any changes to your operations or other information that may require a change in the scope or particulars of the services.
Additionally, timely communication is necessary for timelines to be met consistently throughout the contractual relationship.


Indemnification
You hereby agree to indemnify, defend and hold Root Group Marketing LLC harmless from all claims, demands, losses, costs, expenses, obligations, liabilities, damages, recoveries and deficiencies, including interest, penalties and attorneys’ / professionals’ fees and costs, that the other may incur as a result of a breach of any term or representation contained in this Agreement by you or its agents or assigns, or your business’s implementation of the projects listed in the previous Service Description section provided to you and your business from Bryce Root and Root Group Marketing LLC.


Warranty
Root Group Marketing LLC’s services are provided "as is" without warranty of any kind, either express or implied, to the fullest extent permissible pursuant to applicable law. Root Group Marketing LLC further assumes no responsibility for, and makes no warranties or guarantees for its service, consulting or strategies including all areas of financial investment or results of implementation of strategic consultation and recommendation that are or are not financial in nature. There are no refunds for services already provided as there are numerous elements of production that take place during planning as well as before any meetings or sessions or video shoots, including due diligence, research or determinations of any kind.


In terms of any logistical video and creative content services, each individual piece of work whether video-related, concept or strategy-related, or graphically-designated as well as copywriting, there shall include two rounds of official edits, that include the consensus of your organization and its designated decision makers you deem appropriate. Beyond two rounds of official edits, those will require an additional fee based on the current hourly fee and any specific circumstances involved, including time-related deadlines. Root Group Marketing LLC shall communicate three times for each designated round of edits to be reviewed, if no form of feedback communication takes place after the third feedback request, official approval shall be deemed for the service in question after 24 hours concludes, which can included the necessity for payment of services provided.


Termination
For any monthly or retainer-specific services, this agreement will continue on a continuous monthly basis, but three months' paid notice before ending services or downgrading shall take place via written communication to Root Group Marketing LLC. This scenario is depicted as the following: Prior to the date that the shooting of "Episode" two of "Season One" is initiated, it is necessary to communicate in writing to Root Group Marketing LLC that you'd like to discontinue beyond the designated and contracted three, six, nine or twelve month "Season One" as the continuation of those monthly blocks of "Episode" creation shall continue until written communication of discontinuation or downgrading in video frequency is received. Once regular "Seasons" of video content are being created, they shall continue in the agreed upon three, six, nine or twelve month blocks, whether it's Season One, Two or beyond, until this specific mode of communication is received.


Root Group Marketing LLC does hold the right to discontinue the services mentioned in this agreement at any time by way of written communication.


Independent Contractor Status
You understand that you are engaging Bryce Root and Root Group Marketing LLC as an independent contractor. This agreement is not intended to create any partnership, joint venture, co-ownership, agency, or employment relationship between us. Unless Root Group Marketing LLC or its Owner, Bryce Root specifically agrees to, in writing, Root Group Marketing LLC and its Owner, Bryce Root will not act for you as your agent or make commitments for you or on your behalf.


Intellectual Property, Usage and Licensing Rights
Due to the nature of work being completed by Root Group Marketing LLC, there may be opportunities that include licensing and usage rights to the creative concept and actual programming that is developed. In the instance that opportunities arrive that included ownership, revenue sharing sharing or sale of intellectual property created by Root Group Marketing LLC, it is required to include Root Group Marketing LLC and Bryce Root in negotiations of these rights and usage due to Root Group Marketing LLC holding the conceptual and creative rights that shall be determined with the person signing this agreement and/or designated representatives within the organization's ownership prior to these conversations or negotiations with any interested third parties.

Miscellaneous
This agreement shall only be amended upon the written approval of both parties. You are not permitted to assign your rights, duties, or obligations under this agreement to any other party without Root Group Marketing LLC's prior written consent.


This agreement constitutes the entire agreement between you and Root Group Marketing LLC with respect to the performance of the services set forth above. This agreement supersedes any previous agreements between these parties relating to the performance of these services.
